How do I sell or buy a share from OOD / EOOD?

 
I have a firm and a potential investor who wants to become my partner and get a share of my company against my investment. What, however, is the sale of a shareholding?
 
What is the company share?
The company share is the part of the capital with which I participate in a company (OOD or EOOD). So if I participate in a company with a capital of 100 leva together with two other partners, we will have to divide the capital into parts - for example 10 shares of 10 leva each. When establishing the company, each of us will participate with a certain company share, for example:
 
I - 5 shares of 10 leva or a total of 50 leva;
 
Maria - 2 shares of 10 leva or a total of 20 leva;
 
Ivan - 3 shares of 10 leva, or a total of 30 leva.
 
Both OOD and EOOD are limited liability companies, but two or more partners are part of OOD, and EOOD is the sole owner - it has a single owner of the capital. However, when I set up myself, I can also divide share capital. This way I can more easily sell a share if I decide in the future that I want to have a partner and to transform my EOOD into OOD.
 
Selling units from OOD
The company share can be transferred and inherit. I can transfer my share to another partner freely and to third parties - subject to certain additional requirements. Here are the different hypotheses of selling a share from OOD:
 
1) Leaving a partner
 
I sell my share of OOD to another partner and I leave OOD. The share of my partner who buys is getting bigger.
I sell my share to a third person and I leave OOD, and my third party as a new partner goes to my place.
2) Redistribution of units
 
I sell only part of my company share to a third party and I remain a partner in OOD, but with a smaller share. The buyer is a new partner in OOD.

3) Selling a company
 
All my business associates sell my units. I become the sole owner of the entire capital of the company, which is transformed into EOOD.

Selling units from EOOD
I sell part of my own shares to another person who becomes my partner. The company is being transformed into OOD.
I sell all the shares of my own company to another person, which becomes the new sole owner of my company's capital.
